2.20. Commercial Use: The User may use the Vehicle personally to earn a livelihood, including for delivery, courier, gig-work and other income-earning activities, provided that such use is lawful and complies with these Terms, including the prohibited uses in clause 3, the permitted area of usage in clause 2.13 and the passenger and load limits in clause 3.1. The User must not sub-rent, re-rent, sub-let or lend the Vehicle to any other person, or allow any other person to rent out or operate the Vehicle for hire or gain, in any manner. 11.1. Franchise Operations: Ontrack Technologies Private Limited ("Ontrack") operates through its own locations and authorised franchise partners across various cities. Depending on the location, vehicle availability, handover, return, local support and certain operational activities may be managed by the respective franchise/operations partner. 11.2. Independent Operational Responsibilities: Each franchise/operations partner is responsible for its own local operations, personnel, vehicle handover and return procedures, verification of customer documents, vehicle condition records, and compliance with the operating standards prescribed by Ontrack. This includes, without limitation, ill behaviour or misconduct by a franchise partner's staff, failure or delay in handover, servicing, replacement or recovery by a franchise partner, and any unauthorised charge or commitment made by a franchise partner. This limitation shall not apply to any loss or liability arising from Ontrack's own acts or omissions, any responsibility that Ontrack has expressly undertaken, or any liability that cannot legally be excluded or limited. Where Ontrack is nonetheless held liable in connection with a booking served by a franchise partner, Ontrack's aggregate liability shall, to the maximum extent permitted by applicable law, not exceed the rental fees actually paid by the customer for that booking.
11.4. Franchise Partner Indemnity: Each franchise partner is bound, under its separate agreement with Ontrack, to indemnify and hold harmless Ontrack against all losses, liabilities, damages, claims, costs and expenses arising out of or in connection with the franchise partner's acts, omissions, misconduct, negligence or service failures, the condition or operation of vehicles provided by the franchise partner, or the franchise partner's breach of applicable law or of its obligations in relation to a booking. The customer agrees not to hold Ontrack responsible for any liability that is properly attributable to a franchise partner or its personnel, except to the extent required by applicable law or to the extent the liability arises from Ontrack's own acts or omissions or from any responsibility that Ontrack has expressly undertaken.
11.5. Payments: All payments for bookings, including bookings served by franchise partners, shall be made only through the payment methods offered on the Ontrack platform. Customers are advised not to make direct cash or off-platform payments to a franchise partner or its staff, and Ontrack shall not be responsible for any payment made outside the platform.
11.6. Customer Grievances: Customers are encouraged to report any discrepancy, misconduct, unauthorised charge, vehicle-condition issue or service deficiency involving a franchise location to Ontrack through its official support channels. Ontrack may investigate such complaints and coordinate with the relevant franchise partner to facilitate resolution, without assuming liability for matters for which it is not legally responsible. Where a franchise partner repeatedly or seriously fails to meet Ontrack's operating standards, Ontrack may take action under its agreement with that partner, including suspension or removal of the franchise location.
